1. Agreement to Terms
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you or the entity you represent (“Customer”, “User”, or “You”) and Hridayam Soft Solutions Pvt. Ltd. (“Company”, “we”, “us”, or “our”), governing your access to and use of the PayXtract website, software platform, REST APIs, and related enterprise document extraction services (collectively, the “Service”).
By accessing, browsing, registering for, or using our Service, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately discontinue use of the Service.
2. Subscriptions, Invoicing, and Commercial Terms
Access to enterprise capabilities of PayXtract is provided under commercial subscription tiers or custom enterprise order agreements:
- Billing & Payment: Invoices are billed in advance on an annual or monthly cycle, as agreed in your Commercial Order Form. All fees are exclusive of applicable Indian GST and statutory levies.
- Document Volume Overages: Subscriptions include agreed document processing page quotas. Overages are billed at prevailing per-page rates specified in your Master Service Agreement.
- Custom Pilot POC: Pilot engagements and custom model calibration are governed by mutual terms outlined in specific Statements of Work (SOW).
3. User Accounts and Security
When you create an Account with us, you must provide accurate, complete, and current information at all times:
- You are responsible for safeguarding the API keys, credentials, and authentication tokens used to access the Service.
- You agree not to disclose your passwords or access keys to any unauthorized third party.
- You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
4. Intellectual Property Rights
The Service and its original content, features, proprietary algorithms (including in-house language model parsing weights, layout-aware neural architectures, and OCR ingestion pipelines), source code, design systems, and trademarks are and will remain the exclusive property of Hridayam Soft Solutions Pvt. Ltd. and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company.
5. Client Data Ownership & Confidentiality
Client retains full and exclusive ownership of all Client Data and customer documents uploaded or processed within PayXtract. The Company claims no intellectual property rights over Client Data. As an ISO 27001:2022 certified company, Hridayam Soft Solutions maintains strict technical and organizational controls to protect the confidentiality, integrity, and availability of all Client Data. For on-premise air-gapped deployments, data remains entirely within the client’s private infrastructure.
6. Acceptable Use and Restrictions
You agree not to use the Service:
- In any way that violates any applicable national or international law or regulation.
- To attempt to reverse engineer, decompile, disassemble, or derive source code or neural weights from any software components of the Service.
- To introduce any viruses, trojan horses, worms, logic bombs, or other malicious software.
- To sublicense, resell, or distribute the Service to unauthorized third parties without written agreement.
7. Service Availability & Service Level Agreements (SLA)
For dedicated and shared cloud instances, we endeavor to maintain a 99.5% service uptime commitment, excluding scheduled maintenance windows announced in advance. Enterprise support, bug fixes, patches, and deployment assistance are provided in accordance with the terms of your specific commercial order form and Master Service Agreement.
8. Limitation of Liability
To the maximum extent permitted by applicable Indian law, in no event shall Hridayam Soft Solutions Pvt. Ltd., nor its directors, employees, partners, or agents, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, goodwill, or other intangible losses, resulting from your access to or inability to access or use the Service.
9. Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of the Republic of India, without regard to its conflict of law provisions. Any legal action, dispute, or proceeding arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Mumbai, Maharashtra, India.
10. Changes to Terms of Service
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by posting the updated Terms on this page with a revised “Last updated” date. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
